The Disney film is expected to use the same performance capture technology as Robert Zemeckis' recent blockbuster 'Beowulf', and will be based on Lewis Carroll's classic book.
'Beauty and the Beast' and 'The Lion King' writer Linda Woolverton is to pen the script and work on the project is due to begin next May.
A source close to Burton said: "Tim has always been a massive fan of the 'Alice...' series, and is really looking forward to starting on the film."
The movie is not the only modern adaptation of the book series. Controversial rocker Marilyn Manson is starring as Lewis Carroll in 'Phantasmagoria: The Visions of Lewis Carroll', a horror version of the children's novels.
Manson - who will also direct the film - said: "It's a gothic psychological horror film. I want to make a psychological horror film that is unlike the kind we see today."
Burton will also direct the feature-length version of his 1984 short film 'Frankenweenie' for Walt Disney Studios - about a pet owner who brings his dead dog back to life.
The filmmaker - who is expecting his second baby with long-term partner Helena Bonham-Carter - is currently working on 'Sweeney Todd', a film version of the musical which follows the murderous pursuits of the demonic barber of the same name.

A Tim Burton Disney partnership is always a good thing. Maybe we'll see Burton inspired creations in the Theme Parks.
